15 lutego 2021 r. Minister Finansów Funduszy i Polityki Regionalnej wydał interpretację ogólną dotyczącą możliwych zmian treści umowy leasingu oraz skutków sprzedaży przedmiotu leasingu w trakcie trwania umowy na rzecz osoby trzeciej.

 

Dopuszczalne modyfikacje umowy

Minister Finansów wskazał listę modyfikacji, które na gruncie ustaw o CIT i  PIT nie będą powodować naruszenia warunków uznania danej umowy za leasing operacyjny czy finansowy. Modyfikacje umowy leasingu mogą dotyczyć w szczególności zmian harmonogramu płatności.

 

Niedopuszczalna jest jednak zmiana warunków umowy, która prowadziłaby do przekształcenia umowy leasingu jednego rodzaju w drugi (zmiana kwalifikacji umowy) – musi zachodzić ciągłość strony dokonującej amortyzacji podatkowej środka trwałego, będącego przedmiotem leasingu.

 

Zmiana stron umowy

Minister Finansów odniósł się również do sytuacji, w której zmiana treści umowy wiąże się ze zmianą stron tej umowy w drodze cesji lub wstąpienia w stosunek leasingu. W przypadku zmiany strony lub stron tej umowy, podstawowy okres umowy uważa się za zachowany, jeżeli inne postanowienia umowy nie uległy zmianie. Minister Finansów potwierdził, że zmianą  „innych postanowień umowy” jest wyłącznie taka zmiana, w rezultacie której umowa przestałaby spełniać warunki uznania jej za umowę leasingu dla celów podatkowych.

 

Sprzedaż przedmiotu leasingu

Sprzedaż przedmiotu leasingu w trakcie trwania umowy powoduje zmianę podmiotu będącego stroną takiej umowy. Nabywca rzeczy wstępuje w stosunek leasingu w miejsce finansującego (zbywcy). Problemem w takiej sytuacji było prawidłowe ustalenie kwoty przychodu po stronie finansującego. Minister wyjaśnił, że przychodem finansującego jest wartość wyrażona w cenie określonej w umowie z jednoczesnym zastrzeżeniem, że jeśli cena sprzedaży będzie na poziomie wartości kapitału niespłaconego przez korzystającego, należy przyjąć, że jest zgodna z wartością rynkową.

Änderung der Bestimmungen eines Leasingvertrags und Verkauf des Leasinggegenstands – Allgemeine Auskunft

Am 15. Februar 2021 erteilte der Minister für Finanzen, Fonds und Regionalpolitik eine allgemeine Auskunft (DD6.8202.4.2020.) zu den möglichen Änderungen des Inhalts eines Leasingvertrags und den Folgen eines Verkaufs des Leasinggegenstands während der Vertragsdauer an einen Dritten.

 

Zulässige Änderungen des Vertrags

Der Finanzminister nannte eine Liste mit Änderungen, die auf der Grundlage des polnischen Körperschaftsteuer- und Einkommensteuergesetzes zu keiner Verletzung der Bedingungen für die Einstufung eines gegebenen Vertrags als Operate-Leasing oder Finanzierungsleasing führen werden.  Änderungen des Leasingvertrags können insbesondere Änderungen des Zahlungszeitplans betreffen.


Unzulässig ist jedoch eine Änderung der Vertragsbedingungen, die zu einer Umgestaltung des Leasingvertrags der einen Art in einen der anderen Art führen würde (Änderung der Einstufung des Vertrags) – die Partei, die die Sachanlage (d.h. den Gegenstand des Leasingvertrags) steuerlich abschreibt, darf sich nicht ändern.

 

Änderung der Parteien des Vertrages

Der Finanzminister äußerte sich auch zu der Situation, in der die Änderung des Vertragsinhalts mit einer Änderung der Parteien dieses Vertrags im Wege der Abtretung oder des Eintritts in das Leasingverhältnis verbunden ist. Bei einer Änderung der Partei bzw. der Parteien dieses Vertrages gilt die Grundvertragsdauer als eingehalten, wenn die übrigen Vertragsbestimmungen unverändert bleiben. Der Finanzminister hat bestätigt, dass eine Änderung „anderer Vertragsbedingungen“ nur eine solche Änderung ist, in deren Folge der Vertrag nicht mehr die Bedingungen für die Einstufung für steuerliche Zwecke als Leasingvertrag erfüllen würde.

 

Verkauf des Leasinggegenstands

Der Verkauf des Leasinggegenstands während der Vertragsdauer führt zu einer Änderung des Unternehmens, das Partei eines solchen Vertrags ist. Der Erwerber der Sache tritt anstelle des Finanzierenden (Veräußerers) in das Leasingverhältnis ein. Das Problem bei einer solchen Situation war die richtige Ermittlung des Betrags der Einnahme aufseiten des Finanzierenden. Der Minister erklärte, dass Einnahme des Finanzierenden der Wert ist, den der im Vertrag festgelegte Preis ausdrückt, wobei, wenn der Verkaufspreis der Höhe nach dem Wert des vom Nutzer nicht gezahlten Kapitals entspricht, davon auszugehen ist, dass er mit dem Marktwert übereinstimmt.

Amending a lease agreement and selling the leased item – general tax ruling

 The Minister of Finance, Funds and Regional Policy issued on 15 February 2021 a general tax ruling (file no. DD6.8202.4.2020.) on the possible amendments to lease agreements and the consequences of the sale of the leased item to a third party during the effective term of the agreement.

 

Acceptable amendments to the agreement

The Minister of Finance has indicated a list of amendments which will not violate, under the PIT and CIT Acts, the conditions for considering an agreement an operating or financial lease. The amendments may affect, in particular, changes in the payment schedule.


However, the agreement must not be amended in a way that would result in the lease agreement of one type changing into the other (changing the agreement classification) – the party depreciating the leased tangible asset for tax purposes must remain the same.

 

Changing the parties to the agreement

The Minister of Finance described also circumstances under which an amendment to the lease agreement changes the parties to the agreement by way of assignment of or subrogation to the lease relationship. If the party/parties to the agreement change, the original agreement lifetime remains the same, provided that other provisions of the agreement have not changed. The Minister of Finance has confirmed that “a change of the other provisions of the agreement” means exclusively a change as a result of which the agreement would no longer meet the conditions for being considered a lease agreement for tax purposes.

 

Sale of the leased item

Sale of the leased item during the effective term of the agreement changes the party to the agreement. The buyer replaces the lessor (seller) in the lease relationship. This has caused problems with correct determination of the lessor’s revenue. The Minister has explained that the lessor’s revenue is the amount specified in the agreement, however, if the sales price equals the amount payable by the lessee, it should be considered to be at arm’s length.
