Draft Deregulation Act in Sejm – major changes for businesses and managers

The government’s bill changes three legal statutes: the Commercial Companies Code, the Collective Entities’ Liability Act, and the Act on Counteracting Money Laundering and Terrorist Financing. 


The most important changes:

  • Commercial Companies Code: courts will be allowed to lift the ban on performing functions in a company also in respect of convicts for wilful crimes – this is currently possible only in the case of unintentional wrongdoing. Article 586 will also be amended to remove the prison penalty for failure to file a petition for bankruptcy – only the fine or restriction of liberty will remain.
  • Collective Entities’ Liability Act: a new procedure will allow a collective entity to volunteer a penalty based on an agreement with the prosecutor without prior conviction of a natural person. 
  • Money Laundering Act: criminal liability for failure to meet information obligations towards the General Inspector of Financial Information (Polish: GIIF) will be replaced by a fine of up to 1 million zloty. The objective is to make liability less formalised and avoid multi-level sanctions for employees.

The bill will enter into force 14 days after its promulgation. The government claims that the proposed amendments will unburden the judicial system, make sanctions more rational, and improve organisational culture in businesses.
